(“Mydecine” or the “Company”) (NEO:MYCO) (OTC:MYCOF) (FSE:0NFA) a biotechnology company engineering the next wave of innovative medications and treatment protocols to directly address mental health with a particular emphasis on addiction and PTSD, is pleased to announce that, in connection with certain Common Share Subscription Agreements (the “Subscription Agreements”) entered into with third-party investors (collectively, the “Investors”) dated September 15, 2023, the Company has filed a shelf prospectus supplement (the “Prospectus Supplement”) to the Company’s Final Short Form Base Shelf Prospectus (the “Base Shelf Prospectus”) for the province of Québec and Amended and Restated Final Short Form Base Shelf Prospectus for each of the provinces of Canada, dated January 28, 2022 (together, the “Shelf Prospectus”).
The Prospectus Supplement qualifies the distribution of up to 18,750,000 common shares (each a “Share”) in the capital of the Company to the Investors at a price of $0.20 per Share for aggregate gross proceeds of up to $3,750,000 (the “Offering”).
The Company expects to close the Offering on or about September 16, 2023. The Company will use the proceeds of the Offering as described in the Prospectus Supplement.
